Oxygen4Life Stock Give-A-Way Promotion

These are the Promotion Participant Terms and Conditions for the promotion of the Stock Give-a-Way (hereafter “Promotion”) offered by Oxygen4Life, Inc., located at 30 N. Gould Street Suite 6994, Sheridan, Wyoming 82801. (hereinafter the “Company”).

Oxygen4Life is offering a securities award promotion for information and acceptance for marketing use. The securities award promotion (the “Give-A-Way”) entails the awarding of up to 100,000 shares of Class B, non-voting securities with a par value of $0.01. The award amount is a total par value of $1,000.

GENERAL CLAUSES:

These Promotion Participant Terms and Conditions apply to the Promotion offered by the Company and do not apply to any other services offered by and/or agreements with the Company. Participation in the Promotion implies the participant agrees with these Promotion Participant Terms and Conditions, as well as with all decisions the Company takes to ensure the Promotion runs smoothly.

If any provision in these Promotion Participant Terms and Conditions is void or voided, the remaining provisions will remain in full force. The Company will replace the void provision with a new provision, whereby the purpose and scope of the original provision will be taken into account as much as legally possible.

The Company may at any time, in its sole discretion and without giving prior notice, change these Promotion Participant Terms and Conditions, unless these changes are to the disadvantage of the participant.

PROMOTION PARTICIPATION:

The Promotion runs from February 20, 2023 to Midnight April 1, 2023 .

Interested Participants (the “Participants”) in the Give-A-Way may participate by registering for the Promotion on the website https://www.oxygen4lifeinc.com/free-stock-giveaway and providing their first and last name and email address and by agreeing to receive promotional information about the Company’s products, services and Regulation CF stock offering.

Participants agree to have their name and likeness used in promotional materials such as press releases and social media posts.

Participants agree to receive promotional marketing emails from the company but have the option to unsubscribe at any time.

Participants are not required to pay cash to enter or purchase anything from the Company in order to participate in the Give-A-Way.

Promotion Rules and Regulations:

Eligibility Rules

Give-A-Way participants must be legal residents of the United States and meet the minimum age requirement as determined by local laws.

Participants must follow all rules and requirements specified in the Give-A-Way rules and regulations.

The Company reserves the right to verify the eligibility of participants and to disqualify any participant who violates the rules and regulations of the Give-A-Way.

The winners will be selected at random by third-party software and will be required to provide valid government-issued identification and be subject to all requirements for the purchase of a securities product. Those steps entail identity verification, anti-money laundering reviews, and validation of essential pieces of Participant information.

Opt-Out

Participants may choose to not receive promotional marketing emails. In order to opt out, you will still need to provide your name, email address, and phone number, and make an opt out request from the promotional marketing emails.

Participants may also use the standard US mail system to register and not receive any marketing messages by mailing in the required information to the Company. Address it to:

Participant Points and Award Selection Process

Participants may enter the contest by registering with their full legal name and email address at which point the software would award them 5 points. These 5 points would give them 5 chances to win. They may then share the Give-A-Way with friends and family using social medial, email address or through personal contact.

Each of these activities is tracked and additional points are awarded to the Participant just for sharing. At no time must the referred family member or friend register for the Participant to receive their additional points. However, if anyone registers as a result of their sharing, they will receive additional points.

The software can track for potential fraud and notifies the Company where it can follow-up on expected non-existent people or Participants sharing with themselves.

Each person that the Participant shares with will have the ability to also enroll and have the same opportunities.

Throughout the Give-A-Way, the Company may offer additional prizes/incentives which will be awarded based upon Participants having reached certain point thresholds. These will be available to everyone who reaches these thresholds.

These prizes/incentives might be things like free products/coaching calls or branded promotional materials (“Swag”) like Company hats, t-shirts, etc. Exact Swag may be decided at different times, at the discretion of the Company, and the Company provides no warranty that Swag will be available.

Participation in the Promotion is excluded for employees of the Company as well as anyone who is (in)directly involved in any way in the development and the implementation of the Promotion.

By participating in the promotion, participants agree to release and hold harmless the company, its affiliates, and its partners from all liability for any injuries, loss, or damage of any kind arising from or in connection with the promotion or any award won.

Participants under the age of 18 are excluded from participation in the Promotion.

MAIN AWARDS:

The participant in the Promotion has a chance to win:

The first award is 50,000 shares of the Company’s Class B Non-voting common stock of the company, with a par value of $0.01. This has an issued value of $500.

Second award is 30,000 shares of the Company’s Class B Non-voting common stock of the company, with a par value of $0.01. This has an issued value of $300.

Third award is 20,000 shares of the Company’s Class B Non-voting common stock of the company, with a par value of $0.01. This has an issued value of $200.

Winners of the first, second and third awards will be selected in an impartial and random manner by a computer system and will be notified by e-mail.

The award is personal and not transferable or exchangeable for money.

The three award winners will be required to provide valid government-issued identification and will be subject to a Know Your Customer (KYC) check as well as Anti-Money Laundering check. Process is like opening a bank account.

The stock being offered is through a registration with the SEC and an offering known as Crowdfunding CF. The filing of the Form C is viewable by the link on their website at www.oxygen4lifeinc.com

COSTS:

To participate in the Promotion, no purchase is required. Furthermore, no payment or purchase is required for participation in the Promotion. Winners will be responsible for all taxes if any that might be due.

RESPONSIBILITIES:

The winner agrees to behave in accordance with any applicable rules of conduct of the Company and/or other third parties.

Participants agree to receive promotional marketing emails from the company but have the option to unsubscribe at any time.

RIGHTS OF THE COMPANY:

The Company reserves the right, without obligation of giving any reason and at its own discretion, to exclude participants from participation of the Promotion if the participant violates these Promotion Participant Terms and Conditions or any other legally applicable provision.

The Company also reserves the right to prematurely terminate, interrupt or change the Promotion at its own discretion and without prior notice and/or modify the awards that can be obtained if it cannot be reasonably expected from the Company to adhere to the original terms, awards and/or Promotion.

In the event of knowledge or suspicion of violations, fraud or abuse, the Company has the right to suspend participation and/or to declare participation invalid, without obligation of giving any reason.

PRIVACY:

Participants guarantee that that personal data provided during the participation procedure is correct, truthful, up-to-date, and complete. The foregoing is required to be able to send any award winners their award, as well as sending any Company Promotional materials unless they registered by mail or have chosen to opt out.

The Company can provide this information to third parties if this is necessary for the provision or the delivery of the award.
